1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Ompify ("Company," "we," "us," or "our") governing your access to and use of the Ompify platform, including our website at ompify.com and the application at manage.ompify.com (collectively, the "Service").
By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
Ompify is a WooCommerce product management platform that enables users to:
- Connect and synchronize multiple WooCommerce stores
- View, filter, and manage products from a centralized dashboard
- Use AI-powered features to create and optimize product content
- Perform bulk operations on products
- Preview changes before synchronizing to WooCommerce stores
- Translate product content to multiple languages
The Service is provided as Software-as-a-Service (SaaS) and requires an internet connection to function.
3. Eligibility
To use the Service, you must:
- Be at least 18 years old or the age of legal majority in your jurisdiction
- Have the legal authority to enter into binding contracts
- Not be prohibited from using the Service under applicable laws
- Own or have authorization to manage the WooCommerce stores you connect
By using the Service, you represent and warrant that you meet all eligibility requirements.
4. Account Registration and Security
4.1 Account Creation
To access the Service, you must create an account by providing accurate, current, and complete information. You agree to update your information to keep it accurate and complete.
4.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breach
- Ensuring that your WooCommerce API credentials are kept secure
We are not liable for any loss or damage arising from your failure to protect your account credentials.
4.3 Account Sharing
Your account is personal to you. You may not share your account credentials with others or allow others to access your account. Business plans may include team features that allow authorized team members to access the Service under your account.
5. Subscription Plans and Pricing
5.1 Plans
We offer various subscription plans with different features and limits:
- Free Plan: Limited features for evaluation purposes
- Starter Plan: Essential features for small stores
- Pro Plan: Advanced features for growing businesses
- Business Plan: Full features for larger operations

5.2 Free Plan
All users have access to our Free Plan, which includes limited features and can be used indefinitely. No credit card is required. You can upgrade to a paid plan at any time to unlock additional features and higher limits.
5.3 Billing
- Paid subscriptions are billed monthly or annually in advance
- Payment is processed through our third-party payment processor (Stripe)
- All prices are displayed in EUR and are exclusive of applicable taxes
- Subscriptions automatically renew unless cancelled before the renewal date
5.4 Price Changes
We reserve the right to modify pricing with at least 30 days' notice. Price changes will take effect at the start of your next billing cycle. Continued use of the Service after a price change constitutes acceptance of the new pricing.
5.5 Refunds
We offer a 7-day money-back guarantee for new paid subscriptions. To request a refund, contact us at support@ompify.com within 7 days of your initial payment. Refunds are not available for renewal payments or after the 7-day period.
6. Use of the Service
6.1 Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You may use the Service to manage your own WooCommerce stores or stores for which you have explicit authorization.
6.2 Prohibited Conduct
You agree NOT to:
- Violate any applicable laws, regulations, or third-party rights
- Use the Service for any illegal or unauthorized purpose
- Attempt to gain unauthorized access to the Service or its systems
- Interfere with or disrupt the Service or servers
- Upload or transmit viruses, malware, or other malicious code
- Scrape, crawl, or use automated means to access the Service without permission
- Reverse engineer, decompile, or disassemble any part of the Service
- Resell, sublicense, or redistribute the Service without authorization
- Use the Service to send spam or unsolicited communications
- Infringe upon intellectual property rights of others
- Impersonate another person or entity
- Use the AI features to generate harmful, offensive, or illegal content
6.3 Usage Limits
Each subscription plan has specific limits on stores, products, AI requests, and other features. Exceeding these limits may result in:
- Temporary suspension of certain features
- Request to upgrade to a higher plan
- Additional charges for overage (if applicable to your plan)
We will notify you when you approach your plan limits.
7. WooCommerce Store Connections
7.1 API Access
To use the Service, you must provide WooCommerce REST API credentials for your stores. By connecting a store, you:
- Authorize us to access and sync product data from your store
- Authorize us to push changes back to your store when you confirm them
- Represent that you have the authority to grant this access
7.2 Data Sync
Our Service syncs product data at intervals determined by your plan. Changes made in Ompify are not automatically pushed to your store—you must explicitly confirm changes before they are synchronized.
7.3 Responsibility
You are responsible for:
- Maintaining valid API credentials
- Reviewing changes before confirming synchronization
- Maintaining backups of your WooCommerce data
- Ensuring your WooCommerce installation is compatible with our Service
8. AI Features
8.1 AI-Generated Content
Our Service includes AI-powered features for generating and optimizing product content. You acknowledge that:
- AI-generated content may require review and editing
- You are responsible for reviewing all AI-generated content before use
- AI outputs may not always be accurate, complete, or suitable for your needs
- You retain full responsibility for content published to your store
8.2 AI Usage
AI features are subject to monthly request limits based on your plan. Unused requests do not roll over to the next month.
9. Intellectual Property
9.1 Our Intellectual Property
The Service, including its design, code, features, logos, and documentation, is owned by Ompify and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
9.2 Your Content
You retain ownership of all product data, content, and materials you upload or create using the Service ("Your Content"). By using the Service, you grant us a license to host, store, process, and display Your Content as necessary to provide the Service.
9.3 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation.
10. Privacy and Data Protection
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.
11. Third-Party Services
The Service integrates with third-party services including:
- WooCommerce (via REST API)
- AI providers (for AI features)
- Payment processors (for billing)
Your use of these third-party services is subject to their respective terms and policies. We are not responsible for third-party services or their availability.
12. Service Availability and Support
12.1 Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance (with advance notice when possible)
- Emergency maintenance or updates
- Factors beyond our reasonable control
12.2 Support
Support is provided via email based on your subscription plan:
- Free Plan: Community support and documentation
- Starter/Pro Plans: Priority email support
- Business Plan: Dedicated support
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- WARRANTIES REGARDING ACCURACY, RELIABILITY, OR COMPLETENESS OF THE SERVICE
- WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
- WARRANTIES REGARDING AI-GENERATED CONTENT
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- WE SHALL NOT BE LIABLE FOR LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM
- WE ARE NOT LIABLE FOR DAMAGES ARISING FROM YOUR USE OF THIRD-PARTY SERVICES, INCLUDING WOOCOMMERCE
THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
15. Indemnification
You agree to indemnify, defend, and hold harmless Ompify and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Content you publish to your WooCommerce stores using the Service
16. Termination
16.1 Termination by You
You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until then.
16.2 Termination by Us
We may suspend or terminate your account immediately if you:
- Violate these Terms
- Engage in fraudulent or illegal activity
- Fail to pay applicable fees
- Pose a security risk to the Service or other users
We may also terminate the Service or any part of it with reasonable notice.
16.3 Effect of Termination
Upon termination:
- Your right to use the Service ceases immediately
- You may request export of your data within 30 days
- We will delete your data in accordance with our Privacy Policy
- Sections that by their nature should survive will remain in effect
17. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by:
- Posting updated Terms on our website
- Sending an email notification
- Displaying a notice in the Service
Continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.
18. Governing Law and Disputes
These Terms are governed by the laws of Lithuania, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts of Vilnius, Lithuania.
For EU consumers: Nothing in these Terms affects your rights under mandatory consumer protection laws of your country of residence.
19. General Provisions
19.1 Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Ompify regarding the Service.
19.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
19.3 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
19.4 Assignment
You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations without restriction.
19.5 Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of government, or failures of third-party services.
